drawdown是LPA(有限合伙协议)中特有的术语，因此在LPA中其被赋予了特别的法令意义，而且用法也是比较固定的。其呈现的景象：有限合伙人在一般合伙人要求其付出出资额之前从一般合伙人处取得一份告诉，该告诉便是drawdown notice(提款告诉)，规则提取出资额的方法以及有限合伙人敷衍的出资总额等信息。下面我们可以看两个例句：

Subject to clauses ?2 and ?3, the Partners shall make Contributions in cash, pro rata as provided below in this clause X, as and when called from time to time in the sole discretion of the General Partner, in the amounts and at the time specified in a written notice (a"Drawdown Notice") delivered not less than fifteen (15) Business Days prior to the date such Contributions are required, to permit the Fund to make Portfolio Investments and to pay the Fund's obligations and other liabilities, or to establish adequate reserves therefor. Each Drawdown Notice shall specify the purpose for which the Contributions are required to be made, and, in the event such Contributions are required for a Portfolio Investment, a brief description of the identity,nature and business of such Portfolio Investment.

In respect of each Drawdown,the General Partner must serve a Drawdown Notice on each relevant Limited Partner no later than 10 Business Days prior to the relevant Drawdown Date, in accordance with this clause.

(1) the Fund Manager may (on behalf of the General Partner) issue and serve on the Limited Partners Drawdown Notices required under this Agreement; and

(2) Drawdown Notices so issued and served on the Limited Partners are taken to be Drawdown Notices issued and served on the Limited Partners by the General Partner pursuant to this Agreement.

每次提款，一般合伙人应依照本条在相关提款日前不少于10个经营日向各相关有限合伙人宣布提款告诉。有限合伙人供认并赞同：

(1) 基金办理人可（代表一般合伙人）向有限合伙人出具并送达本协议所要求的提款告诉；和

(2) 向有限合伙人出具并送达的提款告诉应视为由一般合伙人依照本协议向有限合伙人出具并送达的提款告诉。
